Evernorth Shareholders Approve Merger, Advancing $473M XRP Treasury Transaction
Shareholders of Armada Acquisition Corp. II reportedly approved the company’s proposed business combination with Evernorth on Sept. 30, clearing a major corporate and regulatory milestone for a transaction designed to create a publicly traded XRP treasury company.
The agreement, valued at approximately $473 million, is expected to move Evernorth closer to a Nasdaq listing once the remaining conditions of the merger are satisfied. The shareholder vote represents a significant step in the process because business combinations involving special-purpose acquisition companies, or SPACs, generally cannot be completed without approval from investors in the listed acquisition vehicle.
Armada Acquisition Corp. II was formed as a SPAC, a structure that raises capital through an initial public offering before seeking a private company with which to merge. Rather than conducting a conventional initial public offering, Evernorth is using the combination to pursue access to the public markets through an already listed entity. Following completion, the combined company is expected to operate as an XRP-focused treasury business.
The proposed deal places XRP at the center of Evernorth’s corporate strategy. Treasury companies typically seek to acquire and hold a particular digital asset as a principal balance-sheet reserve, with their public shares providing investors with an indirect way to gain exposure to that asset. In Evernorth’s case, the strategy is tied to XRP, the cryptocurrency associated with the XRP Ledger.
Approval by Armada’s shareholders does not, by itself, complete the transaction. SPAC mergers normally remain subject to additional closing requirements, which can include regulatory clearances, satisfaction of contractual conditions and final corporate approvals. The companies must also complete the legal steps required to combine their operations and establish the post-merger entity. The source report did not specify the timetable for those remaining steps.
The $473 million figure gives the proposed combination a substantial financial profile, but it should not be interpreted as an immediate guarantee that the full amount will be available for XRP purchases or other corporate purposes. In transactions of this kind, the headline valuation may reflect the agreed value of the combined business, while the funds ultimately accessible at closing can depend on factors such as investor redemptions, financing arrangements and transaction expenses. Specific details on the allocation of the proceeds were not provided in the report.
The shareholder decision comes as digital-asset businesses continue to explore public-market structures that can support large cryptocurrency holdings. A listed treasury company can raise capital through equity or debt offerings and use those funds to build its reserves. Its valuation, however, may be influenced not only by the market price of the underlying asset but also by investor confidence in management, financing terms, dilution and the company’s ability to grow its holdings over time.
That model also exposes shareholders to risks beyond those associated with holding XRP directly. The value of XRP can fluctuate sharply, while a public company may trade at a premium or discount to the value of its digital-asset reserves. Additional share issuance can dilute existing investors, and borrowing to acquire tokens can increase financial pressure if the market moves against the company. Public reporting, governance and compliance obligations would also apply once the combined business is listed.
For Armada investors, the vote marks the point at which the proposed merger moves from an announced agreement toward execution. SPAC shareholders are commonly given the opportunity to redeem their shares rather than participate in the post-merger company, although the source material did not provide redemption figures or indicate how many investors chose that option. The final capital structure could therefore differ from the one outlined when the transaction was first announced.
The planned Nasdaq listing would give Evernorth a regulated public-market platform and potentially broaden access to institutional and retail investors. It would also subject the company to the ongoing disclosure requirements of a listed issuer. Those requirements are particularly relevant for a business whose balance sheet may be heavily concentrated in a volatile digital asset. Investors will likely focus on the company’s XRP holdings, acquisition policy, funding sources, custody arrangements and approach to managing market risk once further filings become available.
XRP treasury strategies have gained attention because they offer companies a way to position themselves around a major digital asset without operating solely as a cryptocurrency exchange or payments provider. The approach can provide a clear investment narrative, but it also makes corporate performance closely linked to market sentiment surrounding XRP and the broader digital-asset sector.
Evernorth’s successful shareholder vote therefore removes one of the principal obstacles to the proposed merger, but the transaction still needs to reach closing before the planned public-market structure becomes effective. Until that happens, the $473 million combination remains a pending deal rather than a completed listing. The next material developments are expected to involve the satisfaction of closing conditions, final transaction disclosures and confirmation of when the combined company will begin trading on Nasdaq.
